TERMS OF SALE, WARRANTY, AND LIABILITY AGREEMENT

1. General Provisions

1.1 Scope of Terms: These Terms of Sale define the legally binding agreement governing the sale of products (“Products”) from Vector Technics Private Limited (“we,” “us,” or “Company”) to any individual or entity (“Buyer,” “Customer,” “you,” or “your”). By purchasing Products, you agree to abide by these Terms, as updated periodically on our website.

1.2 Acceptance of Terms: These terms apply to all sales, including direct, online, and through authorised distributors and resellers. Vector Technics reserves the right to revise these Terms of Sale, Warranty, and Liability Agreement at any time.

1.3 Communication: All communications, including notifications of changes to terms, will be delivered via electronic or postal mail to the contact details provided by the Buyer. Written communications also include emails, which are recognised as legally binding for all transactional purposes.

2. Formation of Contract

2.1 Purchase Orders: All orders placed through our website, distributors, or other approved channels constitute an offer by the Buyer to purchase Products. The acceptance of such orders, marked by a confirmation email or product dispatch, forms the binding contract between the Buyer and Vector Technics.

2.2 Acceptance Criteria: Vector Technics reserves the right to decline orders based on factors including inventory levels, compliance with regulatory standards, risk of misuse, or suspicion of fraudulent activity.

2.3 Pricing: Product prices are as listed on our official website or in authorised price sheets. All prices are exclusive of taxes, shipping charges, and applicable duties, which are borne by the Buyer.

2.4 Payment Terms: Full payment is required upon order placement unless otherwise agreed in writing. All transactions are processed through secure third-party payment processors, and Vector Technics does not retain payment details.

3. Delivery, Risk, and Title

3.1 Delivery: We endeavour to dispatch all orders within the estimated timelines provided. However, delivery dates are subject to availability, logistics, and unforeseen delays, including, but not limited to, force majeure events.

3.2 Title and Risk: Title to the Products passes to the Buyer upon receipt of full payment. The risk of loss or damage is transferred upon delivery, or at the point of dispatch for Buyer-arranged shipments.

4. Warranty Policy

4.1 Warranty Coverage: Vector Technics warrants that our Products are free from material and workmanship defects for a period of 12 months from the date of delivery, excluding consumable parts and components subject to wear and tear. Any extended warranties are at the Company’s discretion and must be explicitly mentioned.

4.2 Warranty Limitations:

Warranty applies only to Products purchased directly from Vector Technics or through authorised resellers.
Vector Technics may repair, replace, or refund defective Products as per warranty, provided the defect is validated upon inspection.
This warranty does not apply if there is evidence of misuse, modification, improper installation, environmental damage, or use of non-approved components.

4.3 15-Day Purchase Guarantee: Non-custom Products can be returned for a full refund within 15 days, provided they are in original condition and accompanied by a valid receipt. Custom orders are final upon acceptance.

4.4 Warranty Claims Procedure:

Initiating Claims: To initiate a claim, contact Vector Technics Customer Support via email with proof of purchase, product details, and a description of the defect.
Return Merchandise Authorisation (RMA): Upon approval, an RMA number and instructions will be provided. Only returns with an RMA number will be processed.
Inspection and Determination: All returned items will undergo inspection. If the defect falls under warranty, the product will be repaired, replaced, or refunded. Shipping fees may apply.

5. Exclusions and Limitations

5.1 Exclusion of Non-Covered Components: Warranties exclude consumables, accessories, and software bundled with Products.

5.2 Specific Exclusions:

Unauthorised Repairs: Products repaired by unauthorised service providers are excluded.
Physical and Cosmetic Damages: Cosmetic issues such as scratches, wear, and dents are not covered.
Environmental Damage: Any damage resulting from exposure to extreme environments, moisture, or contaminants is excluded.
Abnormal Use: Damage from abnormal use, misuse, or negligence voids the warranty.

6. Liability and Indemnification

6.1 Limitations on Liability:

Vector Technics is not liable for indirect, consequential, or incidental damages, including lost profits or data, arising from the use of Products.
Our total liability under any circumstance will not exceed the purchase price of the Product in dispute.
Vector Technics disclaims any liability for use in high-risk applications, such as life support, military, or aviation, without prior written consent and certification from Vector Technics.

6.2 Assumption of Risk: By purchasing and using our Products, the Buyer acknowledges and assumes all risks associated with installation, operation, and any subsequent results of use.

6.3 Indemnification: The Buyer agrees to indemnify and hold Vector Technics harmless from any claims, damages, or liabilities resulting from unauthorised use, resale, or modification of Products.

7. Intellectual Property Rights

7.1 Reservation of Rights: Vector Technics retains all intellectual property rights associated with its Products, including patents, trademarks, copyrights, and proprietary information. Purchase does not confer any rights to the Buyer beyond the use of the Product.

7.2 Restrictions on Use: Buyer is prohibited from reverse engineering, decompiling, or disassembling Products unless explicitly allowed by law.

8. Compliance and Export Control

8.1 Export Control: Products are subject to export laws and restrictions. The Buyer agrees not to export or re-export Products in violation of these laws.

8.2 Regulatory Compliance: The Buyer is responsible for complying with all relevant regulations in the country of use, including obtaining any necessary permits or certifications.

9. Dispute Resolution and Governing Law

9.1 Governing Law: This Agreement shall be governed by the laws of India. Any disputes will be resolved exclusively in the courts of Hyderabad, Telangana, India.

9.2 Arbitration: For international sales, disputes shall be resolved via binding arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Hyderabad, and the proceedings will be conducted in English.

9.3 Venue: Any claims or legal proceedings will be brought exclusively in the courts of Hyderabad, unless otherwise mutually agreed.

10. Force Majeure

10.1 Definition of Force Majeure: Vector Technics is not liable for delays or failures to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of terrorism, government restrictions, supply chain disruptions, or labour strikes.

10.2 Suspension of Obligations: During a force majeure event, Vector Technics' obligations under this Agreement are suspended, with performance timelines extended accordingly.

10.3 Notification: Vector Technics will promptly notify the Buyer of any force majeure event and take reasonable steps to mitigate its impact.

11. Modification of Agreement

11.1 Changes and Amendments: Vector Technics reserves the right to amend these Terms at any time. Amendments will be effective immediately upon posting on our website.

11.2 Buyer’s Consent: Continued use or purchase of Products following amendments constitutes acceptance of the revised Terms.

12. Entire Agreement

12.1 Complete Agreement: These Terms represent the entire agreement between Vector Technics and the Buyer, superseding all prior agreements, representations, and understandings.

12.2 Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions remain in full force and effect.

12.3 Waiver: Failure by Vector Technics to enforce any right or provision does not constitute a waiver of that right or provision.
